1. Agreement to Terms
By accessing or using OnQuest (the "Service"), operated by Aurum Software, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
OnQuest is a gamified onboarding, training, and task management platform that enables organizations to create guided workflows ("Quests"), track progress, verify completion, and reward achievements. The Service includes web and mobile applications, administrative tools, and related features.
3. Account Registration
- You must provide accurate, current, and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized use of your account
- You are responsible for all activities that occur under your account
- One person or entity may not maintain more than one account
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to harass, abuse, or harm others
- Resell, sublicense, or redistribute the Service without written consent
5. Intellectual Property
The Service and its original content, features, and functionality are owned by Aurum Software and are protected by international copyright, trademark, patent, and other intellectual property laws. You retain ownership of content you create using the Service, but grant us a limited license to host, display, and process that content as necessary to provide the Service.
6. Subscription and Payment
- Some features require a paid subscription
- Fees are billed in advance on a recurring basis (monthly or annually)
- All fees are non-refundable except as required by law or stated in our refund policy
- We reserve the right to change pricing with 30 days' notice
- Failure to pay may result in suspension or termination of your account
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.
9. Limitation of Liability
To the maximum extent permitted by law, Aurum Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill. In no event shall our aggregate liability exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Aurum Software and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
We may terminate or suspend your account at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Service will immediately cease. You may export your data prior to termination. Provisions that by their nature should survive termination will remain in effect.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable rules.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
